These Terms of Service (“Terms”) form a binding agreement between you and Shopolo Digital Private Limited (“we”, “us”, “Shopolo”) governing your access to and use of Cue1860 (the “Service”).
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility & accounts
You must be at least 18 years old to use Cue1860. By creating an account, you confirm that the information you provide is accurate and that you have authority (where you act on behalf of an organisation) to bind that organisation to these Terms.
You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us immediately at ask@shopolo.in if you suspect unauthorised use.
2. The Service
Cue1860 is a business-to-business platform that helps teams manage Spotify playlist curation. It allows authorised users in your organisation to:
- Create playlists internally
- Search Spotify's catalogue and add tracks via the Spotify Web API
- Reorder, edit, or remove tracks
- Route playlists through an approval workflow
- Publish approved playlists to a connected Spotify account
3. Spotify integration & attribution
Cue1860 integrates with Spotify through the official Spotify Web API. By connecting a Spotify account, you authorise Cue1860 to act on its behalf within the OAuth scopes you approve.
You acknowledge that:
- All music content shown within Cue1860 (tracks, artists, album art) is provided by Spotify and remains the property of Spotify, its licensors, or rights holders.
- Cue1860 does not host, stream, or download audio files. Playback occurs entirely on Spotify's platform.
- Your use of Spotify content is also subject to Spotify's Terms of Use, Spotify Developer Terms, and Spotify's brand and design guidelines.
- Cue1860 is independently developed and is not affiliated with, endorsed by, or sponsored by Spotify AB. “Spotify” is a trademark of Spotify AB.
4. Acceptable use
You agree NOT to use the Service to:
- Violate any applicable law, regulation, or third-party rights, including intellectual property and privacy rights
- Attempt to artificially inflate streams, plays, follower counts, or engagement on Spotify or any other platform
- Circumvent or interfere with Spotify's content protection, attribution requirements, or rate limits
- Reverse engineer, decompile, or attempt to extract source code from the Service
- Use automated tools, bots, or scrapers to access the Service in a way that disrupts its operation
- Upload or distribute malware, viruses, or harmful code
- Resell, sublicense, or expose the Service or its underlying Spotify integration to third parties as an API
- Use the Service to harass, defame, or harm others
- Misrepresent your identity, role, or authority
We reserve the right to suspend or terminate accounts that violate these terms, without refund or prior notice where necessary to protect the Service or other users.
5. Content & intellectual property
Your content. Playlists, descriptions, and other content you create through the Service belong to you or your organisation. By using the Service, you grant Shopolo a limited licence to host, process, and display that content solely to operate the Service.
Spotify content. All tracks, artwork, and metadata supplied by Spotify belong to Spotify or its licensors. We display them under Spotify's terms; you must not redistribute them outside of Spotify-authorised channels.
Our intellectual property. The Cue1860 software, design, name, and logo are owned by Shopolo Digital Private Limited. No rights are transferred to you except the limited right to use the Service in accordance with these Terms.
6. Service availability & modifications
We make reasonable efforts to keep Cue1860 available, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, upgrades, or reasons outside our control, including disruptions to Spotify's APIs.
We may add, modify, or remove features at any time. Where changes materially reduce the Service, we will provide reasonable notice.
7. Fees
Where the Service is offered on a paid basis, the applicable fees, billing cycle, and refund terms will be communicated separately at the time of subscription. Where the Service is offered free of charge, we may introduce paid plans in the future, in which case existing accounts will be given fair notice.
8. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if continuing the Service is no longer commercially viable. On termination:
- Your right to access the Service ends immediately.
- We will delete or anonymise your personal data in accordance with our Privacy Policy and applicable law.
- Sections of these Terms that by their nature should survive (intellectual property, disclaimers, limitation of liability, governing law) will survive.
9. Disclaimers
The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of data.
We do not warrant that:
- The Service will be uninterrupted, error-free, or secure
- Spotify's APIs will continue to operate as documented
- The Service will meet your specific requirements
10. Limitation of liability
To the maximum extent permitted by law, neither Shopolo nor its directors, officers, employees, or affiliates will be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising from your use of (or inability to use) the Service.
Our total cumulative liability for any claim related to the Service will not exceed, in aggregate, the greater of (a) the fees you paid to us in the twelve months preceding the event giving rise to the claim, or (b) INR 5,000.
11. Indemnification
You agree to indemnify and hold Shopolo harmless from any claims, damages, losses, or expenses (including legal fees) arising from your misuse of the Service, your violation of these Terms, or your infringement of any third-party rights.
12. Governing law & jurisdiction
These Terms are governed by the laws of India, without regard to its conflict-of-law principles. Any dispute arising under or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of Assam, India.
13. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date at the top will reflect the latest revision. Where changes are material, we will notify you through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance.
